1. Introduction

Welcome to Romocore ("we," "our," "us," or "Romocore"). These Terms of Service ("Terms") govern your access to and use of our website located at https://romocore.com/ (the "Site") and our custom plush manufacturing services (the "Services").

By accessing our Site, requesting a quote, or placing an order, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Business Relationship

Romocore operates primarily as a B2B (Business-to-Business) manufacturing partner. By using our Services, you represent and warrant that:

  • You are purchasing products for business, resale, or commercial purposes.

  • You have the authority to bind your business entity to these Terms.

  • You are at least 18 years of age.

3. Custom Manufacturing Services

3.1 Quotes and Estimates

Quotes provided by Romocore are valid for 30 days from the date of issuance, unless otherwise stated. Prices are subject to change due to fluctuations in raw material costs or exchange rates if an order is not confirmed within this period.

3.2 Prototyping & Sampling

  • Sample Fee: A sample fee is required to begin the prototyping process. This fee covers material sourcing, pattern making, and labor.

  • Revisions: Our standard sampling package includes up to two (2) rounds of minor revisions. Major structural changes or complete redesigns may incur additional fees.

  • Refund Policy on Samples: In certain mass production orders (typically exceeding 500-1000 units), the sample fee may be refundable or deductible from the final invoice. This is determined on a case-by-case basis.

3.3 AIGC Design Assistance

We utilize Artificial Intelligence Generated Content (AIGC) tools to accelerate the design process. While we strive for accuracy, AI-generated images are for conceptual reference. The final physical product may differ slightly due to material limitations and physics.

4. Intellectual Property (IP) Rights

4.1 Your IP

You retain full ownership of the intellectual property, copyrights, and trademarks associated with the designs you submit to us. Romocore does not claim ownership of your characters or artwork. We use your IP solely for the purpose of fulfilling your order.

4.2 Our IP

All content on the Romocore website, including text, graphics, logos, images, and our proprietary manufacturing methodologies, is the property of Romocore and protected by international copyright laws.

4.3 Non-Infringement

By submitting a design to Romocore, you warrant that you are the legal owner of the IP or have the necessary licenses to manufacture it. You agree to indemnify and hold Romocore harmless against any legal claims regarding IP infringement arising from your orders.

5. Orders, Payment, and Cancellation

5.1 Payment Terms

Unless otherwise agreed in writing:

  • Deposit: A non-refundable deposit of 30% to 50% of the total order value is required to commence mass production.

  • Balance: The remaining balance must be paid in full before shipment.

  • We accept payments via T/T (Bank Transfer), PayPal (for samples only), or other secure payment gateways listed on our invoice.

5.2 Cancellation

  • Before Production: If you cancel after the deposit is paid but before material purchasing has begun, a partial refund may be issued minus administrative fees.

  • During Production: Once materials have been purchased or cutting has begun, the deposit is non-refundable. You may be liable for the cost of work completed up to the point of cancellation.

6. Production Tolerances (Crucial for Plush Toys)

Due to the nature of textile manufacturing and manual sewing craftsmanship:

  • Size: Please allow for a measurement tolerance of ± 3-5%. Plush toys are soft goods and can compress or expand.

  • Color: We strive to match Pantone colors (PMS) as closely as possible. However, slight color variations (dye lot shading) may occur between the sample and mass production, or between different production batches. These are not considered defects.

7. Shipping and Delivery

  • Incoterms: Unless otherwise specified, our default shipping term is EXW (Ex Works) or FOB (Free on Board) depending on the quote. We can arrange DDP (Delivered Duty Paid) upon request.

  • Delays: Romocore is not responsible for delays caused by customs clearance, carrier issues, or Force Majeure events (e.g., natural disasters, strikes, pandemics).

  • Customs & Duties: Unless DDP shipping is selected, the buyer is responsible for all import duties, taxes, and customs fees in the destination country.

8. Returns and Quality Assurance

8.1 Inspection

You must inspect the goods within seven (7) days of receipt. If you find any manufacturing defects, you must notify us immediately with photographic evidence.

8.2 Return Policy

  • Custom Goods: Because our products are made-to-order based on your specific design, we do not accept returns for "change of mind" or sales performance issues.

  • Defect Resolution: If a valid manufacturing defect is confirmed by our Quality Control team, we will, at our discretion:

    1. Reproduce the defective units;

    2. Offer a refund/credit for the defective portion; or

    3. Provide a discount on future orders.

9. Limitation of Liability

To the fullest extent permitted by law, Romocore shall not be liable for any indirect, incidental, special, or consequential damages (including lost profits or business interruption) arising out of the use of our services or products.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms shall be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the competent court in Hangzhou, Zhejiang Province.
